This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("User", "you", or "your") and Nihal Gadhavi ("Mements", "we", "us", or "our"), governing your access to, downloading of, and use of the Mements mobile application and related interactive services (collectively, the "App").

1. Acceptance of Terms & Zero-Tolerance Policy

  4. Scope of Policy: This zero-tolerance policy applies unconditionally to all User Content, profile information, avatar media, comments, direct communications, and online interactions within the App.

Enforcement Action: Mements reserves the right to immediately remove, restrict, or modify any objectionable content and to take swift enforcement action against offending users, including issuing formal warnings, restricting feature privileges, temporarily suspending accounts, or permanently terminating access without prior notice or refund.

2. About Mements

  1. Service Purpose: Mements is a social entertainment and media platform that allows users to view, discover, interact with, react to, and—where enabled—create, upload, and distribute memes, media, and other user-generated content.
  2. Entertainment & Humor Context: The App may contain humor, satire, parody, sarcasm, dark humor, controversial opinions, or mature media intended strictly for entertainment purposes.
  3. No Abuse Exemption: The presence or intent of humor, satire, parody, or claims that content was intended "as a joke" does NOT excuse or exempt any behavior or content that constitutes targeted abuse, harassment, illegal activity, or hate speech.
  4. No Endorsement: Mements does not endorse, support, represent, or guarantee the truthfulness, accuracy, or reliability of any User Content displayed, uploaded, or transmitted through the App.

3. User Content & Prohibited Content

  1. Responsibility: "User Content" includes all memes, text, images, videos, audio, comments, usernames, profiles, links, and other material submitted or posted by users. You are solely and completely responsible for the User Content you post or share.

  1. Engage in systematic bullying, harassment, intimidation, or intentional provocation of other users;
  2. Impersonate any person, business, organization, or legal entity, or misrepresent your affiliation;
  3. Attempt to bypass, evade, or circumvent any moderation decision, account restriction, suspension, or ban;
  4. Create new accounts after your original account has been suspended or terminated for policy violations;
  5. Scrape, harvest, or collect user data using automated scripts, bots, spiders, or unauthorized software tools;
  6. Interfere with, disrupt, or overload the servers, networks, or technical infrastructure supporting the App;
  7. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App except to the extent permitted by applicable law; or
  8. Use the App for any commercial advertisement or unauthorized solicitation without express written permission from Mements.

If you downloaded Mements from the Apple App Store, the following additional terms apply:

  1. Acknowledgement: You and Mements acknowledge that this EULA is concluded between you and Mements only, and not with Apple Inc. ("Apple"). Mements, not Apple, is solely responsible for the App and the content thereof.
  2. Scope of License: The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  3. Maintenance and Support: Mements is solely responsible for providing any maintenance and support services with respect to the App, as specified in this EULA or as required under applicable law. You and Mements acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
  4. Warranty: Mements is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Mements's sole responsibility.

Product Claims: You and Mements acknowledge that Mements, not Apple, is responsible for addressing any claims of the user or any third party relating to the App or your possession and/or use of that App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  6. Intellectual Property Claims: You and Mements acknowledge that, in the event of any third-party claim that the App or your possession and use of that App infringes that third party’s intellectual property rights, Mements, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
  7. Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Developer Contact: Any questions, complaints, or claims with respect to the App should be directed to Mements at the contact details listed in Section 19.

Third-Party Beneficiary: You and Mements acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce the EULA against you as a third-party beneficiary thereof.

11.2 Google Play Store Required Terms

If you downloaded Mements from the Google Play Store:

  1. You acknowledge that Google LLC ("Google") is not a party to this EULA.
  2. Google is not responsible for the App, its content, or maintenance.
  3. Your use of Mements must comply with Google Play’s then-current Terms of Service.

12. Updates, Modifications & Service Availability

  1. App Updates: Mements may periodically release updates, bug fixes, patches, or performance enhancements. Updates may install automatically depending on your device settings.
  2. EULA Changes: We reserve the right to modify or replace this EULA at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect via an in-app notice or email.
  3. Continued Use: Your continued use of the App following the effective date of an updated EULA constitutes your binding acceptance of the updated terms.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEMENTS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. MEMENTS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. MEMENTS DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED OR ERROR-FREE, BE ACCURATE OR SECURE, OR BE FREE OF VIRUSES OR OTHER HARMFUL CODE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEMENTS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL DAMAGE) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Mements, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable legal fees) arising from:

  1. Your access to and use of the App;
  2. Your violation of any term of this EULA;
  3. Your User Content; or
  4. Your violation of any third-party right, including any intellectual property right, privacy right, or publicity right.

16. Digital Millennium Copyright Act (DMCA) & Copyright Policy

Mements respects intellectual property rights. If you believe that content hosted on Mements infringes your copyright, please submit a written notification to our Designated Copyright Agent containing:

  1. A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material claimed to be infringing, with sufficient detail (e.g., direct links or post IDs) so we can locate it;
  4. Your contact information, including physical address, telephone number, and email address;
  5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

17. Governing Law & Dispute Resolution

  1. Governing Law: This EULA shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law.
  2. Jurisdiction: Any legal suit, action, or proceeding arising out of or related to this EULA or the App shall be instituted exclusively in the competent courts located in Rajkot, Gujarat, India, and you irrevocably consent to the personal jurisdiction of such courts.
  3. Consumer Protections: Nothing in this Section deprives consumers of statutory rights provided under mandatory local consumer protection laws.

18. Severability & Entire Agreement
