End User License Agreement

The license agreement that governs your use of the Mements app.

This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between you ("User", "you", or "your") and Nihal Gadhavi ("Mements", "we", "us", or "our"), governing your downloading, installation, access to, and use of the Mements mobile application and related services (collectively, the "App").

PLEASE READ THIS EULA CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE APP. BY CREATING AN ACCOUNT, ACCESSING, OR USING MEMENTS, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE TO THIS EULA, YOU MAY NOT ACCESS, DOWNLOAD, OR USE THE APP.

1. Acceptance of Terms & Zero-Tolerance Policy

  1. Conditional Access: Your access to and use of Mements is conditioned upon your compliance with this EULA, our Privacy Policy, and any applicable Community Guidelines.
  2. Zero-Tolerance Policy: Mements maintains a strict zero-tolerance policy for objectionable content and abusive users.
  3. Prohibited Conduct: You must not use Mements to create, post, transmit, or otherwise submit comments or other content that is abusive, harassing, threatening, hateful, discriminatory, sexually exploitative, defamatory, illegal, or otherwise prohibited under this EULA.
  4. Scope of Policy: This zero-tolerance policy applies to comments, usernames, profile information, interactions, and other User Content or conduct within the App.
  5. Enforcement: Mements may remove or restrict content and may warn, restrict, suspend, or permanently terminate accounts that violate this EULA, applicable law, or our Community Guidelines. Enforcement may occur without prior notice where reasonably necessary to protect users, the service, or Mements.

2. About Mements

  1. Service Purpose: Mements is a social entertainment and media application that allows users to discover, view, and interact with memes, images, videos, and other entertainment content made available through the App.
  2. User Contributions: Users may be permitted to submit comments and other forms of User Content through features provided by the App. Users are currently not permitted to upload their own images or videos through the App.
  3. Entertainment & Humor Context: The App may contain humor, satire, parody, sarcasm, dark humor, controversial opinions, insults, or mature content intended for entertainment purposes.
  4. No Abuse Exemption: Humor, satire, parody, sarcasm, or a claim that content was intended "as a joke" does not excuse targeted harassment, threats, hate, illegal activity, or other prohibited conduct.
  5. No Endorsement: Mements does not necessarily endorse, support, or guarantee the truthfulness, accuracy, or reliability of User Content or other third-party content displayed through the App.

3. User Content & Prohibited Content

3.1 User Content

"User Content" means content submitted by users through features of Mements, including comments, usernames, profile information, and other content that the App may permit users to submit.

You are solely responsible for the User Content you submit through Mements.

3.2 Prohibited Content

You agree that you will NOT submit, post, transmit, or otherwise share User Content that:

  • Is unlawful, criminal, or promotes illegal acts or hazardous activities;
  • Contains credible threats of violence or encourages physical harm against an individual or group;
  • Constitutes targeted harassment, severe bullying, cyberstalking, or persistent abuse;
  • Contains hateful or discriminatory content directed at individuals or protected groups based on characteristics such as race, ethnicity, religion, disability, age, nationality, sexual orientation, sex, or gender identity;
  • Promotes or depicts child sexual abuse material (CSAM), child sexual exploitation, or non-consensual sexual material;
  • Promotes, facilitates, or depicts self-harm or suicide;
  • Promotes, facilitates, or encourages violent extremism or terrorism;
  • Contains unauthorized private information, personal data, phone numbers, home addresses, passwords, authentication credentials, or other sensitive information belonging to another person;
  • Infringes copyright, trademark, trade secret, patent, privacy, publicity, or other rights of another person or entity;
  • Contains malware, phishing attempts, fraudulent schemes, spam, or deceptive activity;
  • Attempts to manipulate, interfere with, or abuse Mements' services or systems; or
  • Is reasonably determined by Mements to be excessively graphic, violent, sexually exploitative, or harmful to minors.

4. Prohibited User Behavior

You agree that you will NOT:

  1. Engage in systematic bullying, harassment, intimidation, or intentional abuse of other users;
  2. Impersonate another person, business, organization, or legal entity, or falsely represent your affiliation with another person or organization;
  3. Attempt to bypass, evade, or circumvent moderation decisions, account restrictions, suspensions, or bans;
  4. Create another account to circumvent a suspension or termination imposed for violations of this EULA;
  5. Scrape, harvest, collect, or extract information from Mements using automated scripts, bots, spiders, crawlers, or unauthorized software;
  6. Interfere with, disrupt, overload, or attempt to gain unauthorized access to the servers, networks, APIs, databases, or other infrastructure supporting Mements;
  7. Reverse engineer, decompile, disassemble, modify, or attempt to derive the source code of the App except to the extent expressly permitted by applicable law;
  8. Circumvent technical restrictions, authentication mechanisms, rate limits, or other security measures;
  9. Use Mements to distribute malware, phishing links, scams, fraudulent schemes, or unauthorized commercial solicitations; or
  10. Use the App in violation of applicable law or the rights of another person.

5. Content Moderation & Enforcement

Mements may review User Content and user reports to identify violations of this EULA, our Community Guidelines, or applicable law.

Depending on the circumstances, Mements may:

  • Remove or restrict access to prohibited User Content;
  • Restrict specific features or interactions;
  • Issue warnings;
  • Temporarily suspend an account;
  • Permanently terminate an account;
  • Block access to Mements or particular features; and
  • Preserve or disclose information where required or permitted by applicable law.

Mements may take immediate action when reasonably necessary to address threats to user safety, illegal activity, serious abuse, security risks, or other serious violations.

Mements does not guarantee that all prohibited content will be identified or removed immediately.

6. Reporting & Blocking

Mements may provide tools that allow users to report objectionable content or abusive behavior.

Where available, users may also use blocking functionality to limit interactions with another user.

Reports and blocks may be reviewed and handled in accordance with Mements' moderation procedures, this EULA, our Community Guidelines, and applicable law.

If you encounter content or behavior that violates this EULA, you may report it using the reporting functionality provided within the App.

7. User-Generated Content License & Ownership

  1. Ownership: You retain ownership of original User Content that you legally own and submit to Mements, subject to the license granted below.
  2. License Grant: By submitting User Content to Mements, you grant Mements a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, adapt, modify, and otherwise use that User Content as reasonably necessary to operate, provide, maintain, moderate, improve, and promote Mements and its services.
  3. Duration: This license continues for as long as reasonably necessary for the purposes described above and as otherwise required to operate the service, comply with legal obligations, resolve disputes, or enforce this EULA.
  4. Your Responsibility: You represent and warrant that:
  • You own or possess the rights and permissions necessary to submit the User Content;
  • Your User Content does not infringe the rights of any third party;
  • Your User Content does not violate this EULA or applicable law; and
  • You have the authority to grant the rights described in this section.

8. Firebase Crash Reporting & Analytics

Mements uses Firebase services provided by Google for technical diagnostics and application stability.

8.1 Firebase Crashlytics

Mements uses Firebase Crashlytics for crash reporting, error diagnostics, troubleshooting, and application stability analysis.

Crashlytics may process information such as:

  • Crash reports and stack traces;
  • Error and exception information;
  • Relevant application state;
  • Device and operating system information;
  • App version and build information;
  • Installation or app-instance identifiers;
  • Diagnostic information; and
  • The Mements/Supabase account identifier when a user is signed in, where technically associated with diagnostic data.

8.2 Google Analytics for Firebase

Mements uses Google Analytics for Firebase primarily to provide event and screen information that can support Firebase Crashlytics breadcrumbs and diagnostic analysis.

Depending on the configuration of the App and the device, Analytics may process information such as:

  • App interactions and events;
  • Screen views;
  • App opens and sessions;
  • Session-related information;
  • App version;
  • Operating system and device information; and
  • App-instance or installation identifiers.

When a user is signed in, Analytics may associate information with the Mements/Supabase account identifier used by the App.

Mements does not use Firebase Analytics for advertising, targeted advertising, or monetization.

8.3 Purpose

Firebase Crashlytics and Google Analytics are used for purposes including:

  • Diagnosing application crashes and errors;
  • Understanding technical failures;
  • Improving application stability and reliability;
  • Troubleshooting technical problems; and
  • Understanding relevant application interactions associated with technical diagnostics.

Additional information about Firebase-related data processing is provided in the Mements Privacy Policy.

9. Push Notifications

Mements uses Firebase Cloud Messaging (FCM) to provide push notifications.

Notifications may include service-related messages, account-related information, application updates, or other notifications associated with features of Mements.

You may control notification permissions through your device settings. Disabling notifications may prevent certain notifications from being delivered but will not necessarily affect your ability to use other parts of the App.

10. Account Creation & Authentication

Certain Mements features require an account.

Mements may provide account authentication through third-party authentication providers, including:

  • Sign in with Apple; and
  • Google Sign-In.

You are responsible for maintaining the security of your account and for activity performed through your account.

You agree to provide accurate information where required and not to impersonate another person.

11. Account Deletion & Termination

11.1 User-Initiated Deletion

You may delete your Mements account through the account deletion functionality provided within the App.

Mements also provides an external account deletion request page at:

Account deletion is handled in accordance with the Mements Privacy Policy.

When an account is deleted, Mements will delete the applicable account information and associated User Content, including comments, subject to information that Mements may be required or permitted to retain under applicable law.

Third-party service providers, including Firebase, may retain certain technical, diagnostic, or other information according to their own applicable retention practices and policies.

11.2 Termination by Mements

Mements may suspend or permanently terminate your account or access to the App if:

  • You violate this EULA;
  • You violate the Community Guidelines;
  • You engage in fraudulent, abusive, or illegal activity;
  • Your conduct creates a security or legal risk;
  • Your use threatens the safety of other users; or
  • Termination is otherwise reasonably necessary to protect Mements, its users, or third parties.

11.3 Effect of Termination

Upon termination, your right to access and use Mements will cease.

Provisions that by their nature should survive termination—including intellectual property, limitations of liability, indemnification, dispute provisions, and other applicable provisions—will survive termination.

12. Intellectual Property Rights

  1. Mements Ownership: The App, including its software, source code, user interfaces, designs, logos, trademarks, graphics, audiovisual elements, branding, and other materials provided by Mements, are owned by or licensed to Mements and are protected by applicable intellectual property laws.
  2. Limited License: Subject to your compliance with this EULA, Mements grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible personal device for your personal, non-commercial use.
  3. Restrictions: Except as expressly permitted by this EULA or applicable law, you may not copy, reproduce, distribute, sell, license, lease, modify, reverse engineer, create derivative works from, or commercially exploit the App or its proprietary materials.

13. Privacy Policy

Your privacy is important to us.

The collection, use, storage, disclosure, and protection of information associated with your use of Mements are described in our Privacy Policy, which is available within the App and on our website.

By using Mements, you acknowledge that you have had an opportunity to review the Privacy Policy.

The Privacy Policy forms part of this Agreement by reference.

14. No Advertising or Monetization

Mements currently does not contain advertising and is not currently monetized through advertisements or advertising networks.

Mements does not use Firebase Analytics for targeted advertising or monetization.

Mements may change its business model or introduce additional features in the future. Any resulting changes to data practices will be addressed through applicable notices, policies, or consent mechanisms where required by law.

15. App Store Terms & Platform Disclaimers

15.1 Apple App Store Terms

If you downloaded Mements from the Apple App Store, the following additional terms apply:

  1. You and Mements acknowledge that this EULA is concluded between you and Mements and not with Apple Inc. ("Apple").
  2. Mements, and not Apple, is responsible for the App and its content.
  3. Your license to use the App is limited to a non-transferable license to use the App on Apple-branded products that you own or control, subject to the Usage Rules contained in the Apple Media Services Terms and Conditions.
  4. Apple has no obligation to provide maintenance or support services for the App.
  5. Mements is responsible for addressing claims relating to the App, including product liability claims, claims that the App fails to comply with applicable legal or regulatory requirements, and claims relating to consumer protection or privacy.
  6. In the event of a third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Mements, and not Apple, will be responsible for the investigation, defense, settlement, and discharge of the claim.
  7. You represent that you are not located in a country subject to applicable U.S. Government embargo restrictions and are not listed on applicable U.S. Government restricted-party lists, to the extent such representations are legally required.
  8. Apple and Apple's subsidiaries are third-party beneficiaries of this EULA and may enforce applicable provisions of this EULA as permitted under Apple's applicable terms.

15.2 Google Play Terms

If you downloaded Mements from Google Play:

  1. You acknowledge that Google LLC ("Google") is not a party to this EULA.
  2. Google is not responsible for Mements, its content, maintenance, or support.
  3. Your use of Mements must comply with Google's then-current applicable terms and Google Play policies.

16. Updates, Modifications & Service Availability

  1. App Updates: Mements may release updates, bug fixes, security patches, performance improvements, or new features.
  2. EULA Changes: We may modify or replace this EULA from time to time. Where required by applicable law, we will provide appropriate notice of material changes.
  3. Continued Use: Your continued use of Mements after an updated EULA becomes effective constitutes acceptance of the updated EULA, to the extent permitted by applicable law.
  4. Service Availability: Mements does not guarantee that the App or any particular feature will always be available, uninterrupted, or error-free.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEMENTS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMENTS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

MEMENTS DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERRORS, BE COMPLETELY ACCURATE OR SECURE, OR BE FREE FROM VIRUSES OR OTHER HARMFUL CODE.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMENTS, ITS OWNER, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHER INDIRECT LOSSES.

NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Mements, its owner, affiliates, officers, directors, employees, agents, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from:

  1. Your access to or use of the App;
  2. Your violation of this EULA;
  3. Your User Content;
  4. Your violation of applicable law; or
  5. Your violation of the rights of another person or entity.

Your notice should provide sufficient information to identify:

  1. The copyrighted work;
  2. The allegedly infringing material;
  3. Where the material can be located within the App;
  4. Your contact information;
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or applicable law; and
  6. A statement that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.

Mements will review copyright complaints and may take appropriate action in accordance with applicable law.

21. Governing Law & Dispute Resolution

  1. Governing Law: This EULA shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
  2. Jurisdiction: Subject to applicable mandatory consumer protection laws, disputes arising out of or relating to this EULA or Mements shall be subject to the jurisdiction of the competent courts located in Rajkot, Gujarat, India.
  3. Consumer Rights: Nothing in this EULA is intended to deprive consumers of mandatory rights or protections that cannot legally be waived under applicable law.

22. Severability & Entire Agreement

  1. Severability: If any provision of this EULA is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.
  2. Entire Agreement: This EULA, together with the Mements Privacy Policy and applicable Community Guidelines, constitutes the agreement between you and Mements regarding your use of the App.

By selecting "I Agree," registering an account, downloading, installing, accessing, or using Mements, you acknowledge that:

  1. You meet the minimum age requirements applicable to your use of the App in your jurisdiction;
  2. You have read, understood, and agree to be bound by this EULA;
  3. You acknowledge and agree that Mements maintains a zero-tolerance policy for objectionable content and abusive users;
  4. You understand that violations of this EULA or the Community Guidelines may result in removal of content, restrictions, suspension, or permanent termination of your account; and
  5. You have had an opportunity to review the Mements Privacy Policy and understand that Mements uses third-party services, including Supabase, Apple Sign-In, Google Sign-In, Firebase Crashlytics, Google Analytics for Firebase, and Firebase Cloud Messaging, as described in the Privacy Policy.
